Terms of Service

By downloading, installing, accessing, or using any Genzbots product or service (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services. These Terms constitute a legally binding agreement between you ("User") and Genzbots ("Company", "we", "us", or "our").

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Genzbots provides an AI-powered Agentic Robotic Process Automation (RPA) platform, including Genzbots Studio (desktop application), AI Copilot features, Orchestrator Dashboard, and related web services. Specific features available to you depend on the subscription tier you have purchased or the free Starter edition you have downloaded.

3.1 Account Creation

Some features require you to register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at legal@genzbots.ai if you suspect unauthorized use of your account.

3.3 One Account per User

Each account is for a single user. Sharing account credentials with others is not permitted unless you have purchased a multi-seat or team license.

4.1 Starter Edition (Free)

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to download and use the Starter Edition for both personal and commercial automation purposes at no charge.

4.2 Paid Editions

Upon payment of the applicable subscription fees, we grant you a non-exclusive, non-transferable license to use the purchased edition of Genzbots Studio for the subscription period, limited to the number of seats purchased.

• Reverse engineer, decompile, or disassemble any part of the Services
• Sublicense, resell, rent, or lease the Services to third parties
• Use the Services to build a competing product or service
• Circumvent any licensing, access control, or usage restriction mechanisms
• Use the Services to transmit malware, spam, or any unlawful content
• Scrape, mine, or extract data from other users or third-party systems without authorization

5.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are stated in USD or INR as selected and are exclusive of applicable taxes unless stated otherwise.

5.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. Cancellation takes effect at the end of the current billing period — you will retain access until then.

5.3 Refunds

We offer a 14-day money-back guarantee for first-time paid subscribers. Refund requests must be submitted within 14 days of the initial purchase. Renewals and upgrades are non-refundable unless required by applicable law.

5.4 Price Changes

We may change subscription prices at any time. Price changes for existing subscribers will be communicated at least 30 days in advance. Continued use after the price change takes effect constitutes acceptance of the new price.

5.5 Launch & Promotional Pricing

Launch offer prices and promotional discounts are time-limited and subject to change without extended notice. Such pricing is valid only for the specified promotional period.

6.1 AI-Generated Content

Genzbots uses AI models (including OpenAI's GPT-4o and locally-run models) to generate automation workflows and scripts. AI-generated content may contain errors. You are solely responsible for reviewing, testing, and validating all generated workflows before deploying them in production environments.

6.2 Third-Party AI Providers

Cloud AI Copilot features send your prompts and workflow descriptions to third-party AI providers. By using these features, you agree to the applicable third-party terms (e.g., OpenAI Terms of Use). We are not responsible for how third-party providers process your data.

6.3 Local AI Models

Pro+ and Enterprise tiers include locally-run AI models (e.g., Llama 3.1 8B). These models run entirely on your device and no prompt data is sent to external servers.

7.1 Ownership

You retain full ownership of all automation workflows, scripts, and configurations you create using the Services. We claim no intellectual property rights over your content.

7.2 Responsibility

You are solely responsible for ensuring that your automations comply with all applicable laws, regulations, and third-party terms of service. You must not create automations that access systems or data without authorization.

7.3 Feedback

If you submit feedback, suggestions, or feature requests, you grant us a royalty-free, perpetual license to use and incorporate that feedback into our products without any obligation to you.

• Violate any applicable local, national, or international laws or regulations
• Engage in unauthorized access to computer systems, networks, or data
• Create bots that perform actions in violation of third-party websites' terms of service
• Conduct denial-of-service attacks, credential stuffing, or any form of cyber attack
• Harvest personal data of individuals without proper legal basis
• Automate fraudulent transactions, account creation, or spam distribution
• Infringe upon the intellectual property rights of any party

We reserve the right to suspend or terminate your account immediately if we detect prohibited conduct.

The Services, including all software, designs, logos, trademarks, documentation, and underlying technology, are owned by or licensed to Genzbots and are protected by intellectual property laws. "Genzbots" and the Genzbots logo are trademarks of the Company. Nothing in these Terms grants you any rights in our intellectual property other than the limited license described in Section 4.

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance that temporarily affects availability. We reserve the right to modify, update, or discontinue features with reasonable notice.

Software updates to Genzbots Studio may be mandatory for continued access to cloud-connected features. We are not liable for issues arising from failure to install updates.

11.1 Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 Limitation of Liability

To the maximum extent permitted by applicable law, Genzbots shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

11.3 Cap on Liability

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees paid by you to Genzbots in the 12 months preceding the claim, or (b) USD $100.

You agree to indemnify, defend, and hold harmless Genzbots and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

You may terminate your account at any time by cancelling your subscription and ceasing use of the Services. We may suspend or terminate your access at any time, with or without notice, for violation of these Terms, non-payment, or if required by law.

Upon termination, your license to use the Services ends immediately. Sections that by their nature should survive termination (including Sections 7, 9, 11, 12, and 14) will continue to apply.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@genzbots.ai. We will make reasonable efforts to resolve the dispute within 30 days.

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice before material changes take effect, either via email or a prominent notice on our website. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
